1. The TheFilingRoom.Com is being provided to you by Internet Data Management
Corporation DBA TheFilingRoom.Com under the terms expressed in this document named TheFilingRoom.com
TERMS AND CONDITIONS. Your use of the TheFilingRoom.Com site will indicate your acceptance of these
terms. Do not use the site if you do not agree to be bound by these terms.
2. Internet Data Management may from time to time change these terms of service. At the time
of a change you will be notified by the posting an updated version of this Agreement on the site and/or by sending you an email message.
You are responsible for regularly reviewing this Agreement. Continued use of the service after being notified of a change
shall be considered acceptance of the changed terms of service.
3. Internet Data Management reserves the right to change or discontinue the TheFilingRoom.com
service at any time and will notify you accordingly. Internet Data Management shall be in no
way liable for any consequence to anyone or anything which results from our decisions regarding
continuing, changing, or discontinuing this service. Further, Internet Data Management shall not
be liable for forwarding or retrieving documents. We will make available the ability to download
all files from the system if such a time arose.
4. Internet Data Management assumes no liability for any of the data that is stored on the
TheFilingRoom.com service, be it obscene, offensive, illegal, or if it is an infringement of
property rights of anyone.
5. You agree that you are the only person responsible for the security of your account and
Internet Data Management is not.
6. The transmission, storage, viewing and retrieval of data and files through the World Wide Web is subject to a variety of conditions that make such transmission, storage, viewing and retrieval potentially unreliable. ACCORDINGLY, YOUR USE OF YOUR ACCOUNT AND THE SERVICE IS AT YOUR SOLE RISK. YOUR ACCOUNT AND THE SERVICE IS PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS. INTERNET DATA MANAGEMENT CORP, ON BEHALF OF ITSELF AND ITS DISTRIBUTORS, ADVERTISERS AND SUPPLIERS, DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, ARISING BY LAW OR OTHERWISE, WITH RESPECT TO YOUR ACCOUNT AND THE SERVICE (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT). PLEASE NOTE THAT YOUR ACCOUNT AND THE SERVICE MAY NOT MEET YOUR NEEDS. INTERNET DATA MANAGEMENT CORP MAKES NO REPRESENTATION OR WARRANTY: (A) THAT YOUR ACCOUNT OR THE SERVICE WILL MEET YOUR NEEDS; (B) THAT ACCESS TO YOUR ACCOUNT OR THE SERVICE WILL BE TIMELY, ERROR-FREE, UNINTERRUPTED, VIRUS-FREE OR SECURE; (C) THAT THE DATA AND FILES YOU STORE IN YOUR ACCOUNT WILL NOT BE LOST OR DAMAGED; (D) THAT THE DATA ON YOUR DESKTOP OR SERVER WILL NOT BE LOST OR DAMAGED; OR (E) THAT DEFECTS IN THE SERVICE WILL BE CORRECTED. YOU ACKNOWLEDGE THAT ANY MATERIAL OR DATA YOU RETRIEVE THROUGH THE USE OF THE SERVICE IS DONE AT YOUR CHOICE AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE RETRIEVAL OF SUCH MATERIAL OR DATA.
7. You also agree that Internet Data Management will not be liable for any special, direct,
consequential, indirect, or incidental damages which result from use, cost, errors, security
breaches, or anything else related to the use of TheFilingRoom.Com. (If it is illegal for us
to exclude certain liabilities for you because of your legal jurisdiction, the illegal exclusions
do not apply to you.)
8. When using TheFilingRoom.Com, you agree to follow U.S. laws regarding transmitting data,
and not to make illegal use of the TheFilingRoom.Com System or use it for purposes that are
illegal. Further, you agree not to use the System for transmitting vulgar, obscene,
pornographic, harmful, libelous, abusive, or unlawful material as well as so called "child erotica".
Due to the nature of the site serving business interests as well as families we will not allow
such material to be stored on our site.
You agree not to attempt to gain access to other computer systems.
TheFilingRoom.Com has no obligation to monitor the Service and/or Content or any user's use thereof or retain the content of any user session.
TheFilingRoom.Com reserves the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request.
If such material is found on the site your account will be terminated.
Also, you agree not to interfere with anyone else who is a member of TheFilingRoom.Com
in their use and enjoyment of the TheFilingRoom.Com web site or other Internet Data
Management products. You agree to not transmit anything over TheFilingRoom.Com that could
cause civil liability against anyone, or break applicable international regulations,
international laws, national laws, national regulations, state laws, state regulations,
or local laws, or local regulations.
9. You agree to indemnify and hold Internet Data Management and its affiliates, officers,
stockholders, and employees harmless from any type of demand or any type of claim which
would include attorneys' fees which are reasonable, which are made by any third party as
a result of your use of the TheFilingRoom.Com System, be it any type of infringement such
as intellectual property or other rights, or other users of TheFilingRoom.Com using your
computer, or an infringement of these terms of service by you.
10. You agree to be solely and completely responsible for all of your transmissions onto
and off of your TheFilingRoom.Com, and the contents of those transmissions. Internet
Data Management holds the right to terminate your access to the TheFilingRoom.com system
at any time with or without reason, at Internet Data Management's discretion. At the point
at which you are terminated you have no further permission to access the TheFilingRoom.Com
system and Internet Data Management is not obligated to give you access to any data that
you have uploaded or inserted into TheFilingRoom.Com in any way.
11. You must understand and agree that all textual, graphical, musical, visual material which is
in the TheFilingRoom.Com system as well as all of Internet Data Management's software
is protected by patents, trademarks, copyrights, service marks, and other property
rights and laws. Therefore you must have appropriate authorization before reproducing,
distributing, copying, or taking and changing any of these contents. Further, your use
of the TheFilingRoom.Com system must be in accord and governed by all appropriate state,
federal, local, international, and national laws and regulations.
TheFilingRoom.Com is not designed to be used as a "file sharing" service where material whether
copywrited or not, is distributed via a "public" web site where usernames and passwords are
published in plain view and accessible to the general public. The use of "guest" ids are allowed
but limited to reasonable concurrent accesses. Abuses of this policy will result in suspension.
12. If anything which is inserted into this terms of service document is found by
the appropriate legal jurisdiction and authority to be in violation of the relevant
law then the other parts of the terms of service shall be understood as close to their
original meaning as possible and the parts which were not in violation of a law remain
in full effect, and full force.
13. If Internet Data Management fails to act on any of the terms of this document it
should not be construed as a waiver of any provision unless Internet Data Management
agrees to any such waiver in writing.
